Private Membership Association Membership Agreement
1. Mission & Purpose
The Paonia Food Movement (“Association”) exists to provide its members with the highest‑quality food sourced from North Fork Valley farmers who practice certified organic and regenerative agriculture, thereby supporting local producers and building resilience in our regional food supply.
2. Definitions

Association – Paonia Food Movement LLC operating as a Private Membership Association.

Member – An individual who has signed this Agreement, paid any required dues, and been accepted by the Association.

Products – Food items, beverages, and related goods made available exclusively to Members under this Agreement.
3. Membership Eligibility & Term

Membership is open to natural persons 18 years or older who support the Association’s mission.

Membership becomes effective upon (a) execution of this Agreement and (b) payment of the current membership fee.

The membership term is one (1) year and renews upon payment of the then‑current fee unless terminated earlier under § 11.
4. Membership Dues & Fees

The membership fee is $10 and is charged every order (subject to change with 30 days’ written notice).
- This membership fee is how we cover our website fees, gasoline costs, and the time it takes to collect and curate each of your boxes.

Members are responsible for all charges for Products ordered.
5. Ordering, Pickup, & Missed‑Pickup Policy

Orders are placed through the Association’s members‑only website or email list by the stated weekly deadline of Tuesday night at 6 pm.

Primary Pickup: Members collect their orders at the designated time and location. Pickup location/times are Basalt Library from 10:30 – 11:30am; Aspen Chapel from 12 – 1pm, Sayre Park in Glenwood from 3:00 – 3:30pm, Carbondale Nature Park from 4:30 – 5:30pm, and Marble Spring from 6:15 – 6:45pm

If you forget to pick up: (a) The Association will text a reminder; (b) If uncollected, a good‑faith attempt will be made to deliver the order to the Member’s home using the contact information on file.

Donation: If both attempts fail within, Products will be donated to individuals or organizations in need. No refunds will be issued.
- Weather Delay: During winter deliveries it is possible that the delivery will be delayed due to dangerous driving conditions. If this is the case, you will be notified, and a new delivery day will be scheduled.
6. Quality & Food‑Safety Commitment
The Association holds a Colorado safe‑food‑handling license and follows all applicable food‑safety guidelines. Products are kept at appropriate temperatures during storage and transport to preserve safety and freshness.
7. Member Obligations & Assumption of Risk

As‑Is Acceptance: Member accepts all Products “as is,” understanding that locally produced food may vary in size, shape, and appearance.

Safe Handling at Home: Member agrees to refrigerate or freeze perishable items promptly and follow standard food‑safety practices.

Allergens: Member acknowledges responsibility for managing personal food allergies or dietary restrictions.
8. Liability Waiver & Hold Harmless
To the fullest extent permitted by Colorado law, Member voluntarily assumes all inherent risks of consuming fresh, minimally processed food and releases, waives, and holds harmless the Association, its owner, employees, volunteers, and farmer‑partners from any liability for illness, injury, or damages arising from participation in the Association, except to the extent caused by the Association’s gross negligence or willful misconduct.
9. Indemnification
Member agrees to indemnify and defend the Association against any third‑party claims arising from Member’s breach of this Agreement or improper handling of Products after pickup.
10. Confidential, Non‑Public Club
Products and communications are offered exclusively to Members. Please feel free to invite friends and family to join our membership!
11. Termination
Either party may terminate membership at any time upon written notice. Fees paid are non‑refundable. The Association may suspend or terminate membership for non‑payment or violation of this Agreement.
12. Dispute Resolution & Governing Law
This Agreement is governed by the laws of the State of Colorado. Any dispute shall first be addressed through good‑faith negotiation; failing resolution, the parties agree to binding arbitration in Delta County, Colorado, under the rules of the American Arbitration Association.
13. Severability & Entire Agreement
If any provision is held invalid, the remaining provisions shall remain in force. This document constitutes the entire agreement between the parties and supersedes all prior discussions.
14. Acknowledgment
By clicking the box, you acknowledge that you have read, understand, and agree to abide by the terms of this Membership Agreement.
